1. Agreement to Terms
By accessing or using the services provided by WebMedic ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.
2. Services
WebMedic provides eCommerce development, optimisation, and management services, including but not limited to:
- Website design and development (Shopify, WooCommerce, and other platforms)
- Conversion rate optimisation (CRO)
- Store management and technical support
- Digital marketing and growth strategy
- Email marketing setup and management
The specific scope of services will be outlined in your individual service agreement or proposal.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for us to deliver our services
- Grant timely access to required accounts, platforms, and assets
- Respond to communications and provide feedback within reasonable timeframes
- Ensure that all content and materials you provide do not infringe on any third-party rights
- Maintain the confidentiality of any account credentials shared with you
4. Payment Terms
- Payment terms and pricing are as outlined in your individual service agreement or proposal.
- Invoices are due upon receipt unless otherwise agreed in writing.
- Late payments may be subject to a late fee or suspension of services.
- All fees are quoted in the currency specified in your agreement (typically MYR or USD).
- Prices are subject to change with 30 days' written notice.
5. Intellectual Property
Our Property
All proprietary tools, methodologies, templates, frameworks, and processes developed by WebMedic remain our intellectual property. You may not reproduce, distribute, or create derivative works from our proprietary materials without written permission.
Your Property
Upon full payment, you retain ownership of any custom work created specifically for your project, including custom designs, code, and content created for your store. Any pre-existing intellectual property you provide remains yours.
Third-Party Assets
Third-party themes, plugins, apps, and assets used in your project are subject to their respective licences and terms.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, financial information, customer data, and technical details. This obligation survives termination of the agreement.
7. Limitation of Liability
To the maximum extent permitted by law:
- WebMedic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
- Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim.
- We are not liable for any loss of data, revenue, or profits resulting from third-party platform outages, changes, or issues beyond our control.
8. Warranties and Disclaimers
We strive to deliver high-quality services. However:
- Our services are provided "as is" without warranties of any kind, either express or implied.
- We do not guarantee specific results, including but not limited to traffic increases, conversion rates, or revenue growth. Past results shared on our website are specific to those clients and circumstances.
- We are not responsible for the performance, uptime, or policies of third-party platforms (Shopify, WooCommerce, payment gateways, etc.).
9. Termination
- Either party may terminate the service agreement with 30 days' written notice, unless otherwise specified in the agreement.
- Upon termination, you are responsible for payment of all services rendered up to the termination date.
- We reserve the right to terminate services immediately if you breach these terms or engage in illegal or unethical activities.
- Upon termination, we will provide reasonable assistance in transitioning your accounts and assets, subject to payment of any outstanding fees.
10. Indemnification
You agree to indemnify and hold harmless WebMedic, its employees, and contractors from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any third-party rights.
11. Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, internet outages, government actions, or third-party platform failures.
12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13. Changes to These Terms
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the updated terms.
